1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and HealthPoints Technologies LLC, a Texas limited liability company ("HealthPoints," "we," "us," or "our"), governing your access to and use of the Prep mobile application and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are between 16 and 18 years old, you represent that you have your parent or guardian's permission to use the Service.

We reserve the right to request proof of age at any time. If we discover that you do not meet the age requirement, we will immediately terminate your account.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

You may not share your account credentials, transfer your account to another person, or create multiple accounts. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment Terms

The Service offers subscription-based access to premium features. By subscribing, you agree to the following:

  • Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). You authorize us to charge your payment method at the start of each billing period.
  • Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date. You will be charged the then-current subscription rate.
  • Price Changes: We may change subscription prices with at least 30 days' notice. Changes will apply to subsequent billing periods.
  • Cancellation: You may cancel your subscription at any time through your account settings or app store. Cancellation takes effect at the end of the current billing period.
  • No Partial Refunds: Except as provided in our Refund Policy below, we do not provide refunds or credits for partial subscription periods.

5. Refund Policy

We offer a 7-day money-back guarantee for new subscriptions. If you are not satisfied with the Service, you may request a full refund within 7 days of your initial subscription purchase by contacting us at support@healthpoints.io.

This refund policy applies only to first-time subscribers. Renewal payments, subsequent subscriptions, and purchases made after using the trial period are not eligible for refunds except as required by law or at our sole discretion.

6. Health and Nutrition Disclaimer

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. The nutritional information, meal plans, recipes, and dietary recommendations provided through the Service are for informational and educational purposes only.

We are not licensed healthcare providers, and the Service does not provide medical advice. You should always:

  • Consult with a qualified healthcare professional before making dietary changes
  • Seek medical advice if you have allergies, health conditions, or dietary restrictions
  • Never disregard professional medical advice or delay seeking it because of information from the Service
  • Verify nutritional information independently, as data may contain inaccuracies

Allergen and Dietary Information: While we strive to provide accurate allergen and ingredient information, we cannot guarantee its completeness or accuracy. You are solely responsible for verifying that foods are safe for your consumption.

Health Outcomes: We make no guarantees regarding weight loss, health improvements, or any other outcomes from using the Service.

7. User Content and Data Ownership

You retain ownership of any content you create, upload, or submit through the Service ("User Content"), including custom recipes, meal plans, and food logs. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely to provide and improve the Service.

You represent and warrant that you have all necessary rights to submit User Content and that it does not violate any third-party rights or applicable laws.

Data Deletion: You may request deletion of your account and associated data at any time through your account settings or by contacting us. We will delete your data within 30 days, except where retention is required by law.

8. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Upload harmful code, viruses, or malware
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for commercial purposes without our written permission
  • Scrape, data mine, or extract data using automated means
  • Impersonate others or provide false information
  • Harass, abuse, or harm other users
  • Use the Service to distribute spam or unsolicited communications

9. Intellectual Property

The Service, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, is owned by HealthPoints Technologies LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written consent.

10. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

Upon termination:

  • Your right to access and use the Service will immediately cease
  • You will not be entitled to any refund of subscription fees, except as provided in our Refund Policy
  • We may delete your account and User Content, subject to our data retention obligations

You may terminate your account at any time by contacting us or using the account deletion feature in the app.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Nutritional or allergen information will be accurate or complete
  • Defects will be corrected
  • The Service is free from viruses or harmful components
  • Results from using the Service will meet your expectations

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHPOINTS TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of third parties on the Service
  • Unauthorized access to or alteration of your transmissions or content
  • Health outcomes, adverse reactions, or dietary decisions made based on the Service
  • Errors or inaccuracies in nutritional, allergen, or ingredient information

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless HealthPoints Technologies LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your User Content

14. Dispute Resolution and Arbitration

Informal Resolution: Before filing a claim, you agree to contact us at legal@healthpoints.io and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If we cannot resolve the dispute informally, you agree that any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

The arbitration will be conducted in Texas, or another mutually agreed location. The arbitrator's decision will be final and binding. You agree to waive your right to a jury trial or to participate in a class action lawsuit.

Small Claims Court: Either party may bring an individual action in small claims court instead of arbitration.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Texas.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email, through the Service, or by updating the "Last updated" date at the top of this page at least 30 days before the changes take effect.

Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HealthPoints Technologies LLC regarding the Service and supersede all prior agreements and understandings.
